Disclaimer and Non-Disclosure Agreement

Rule One Investing, Inc. is dedicated to your personal success. We want you to improve your investing and trading. Our faculty and coaches want to give you the benefits of their experience and knowledge to improve your success and minimize loss. Some, but not all, of our faculty and coaches are investment advisor representatives; Phil Town is a licensed investment advisor and owns a Registered Investment Advisor company. However, Phil, our faculty and coaches are prohibited by law from providing investment advice to anyone who is not a client. Students, by definition, are not clients. Therefore, neither Phil nor any faculty member or coach will provide you, the student, with financial advice. Our training and coaching and all discussions thereto are for educational purposes only. Rule One cannot guarantee Rule #1 investing strategies will work for you nor that these strategies will continue to be successful. Investing and trading have substantial market, legislative and personal financial risk and you should consult with your own licensed Registered Investment Advisor with regard to your portfolio, risk tolerance and expectations for growth. Rule One coaches and faculty do not give any specific recommendations for stocks, options, indices, strategies or positions, however, they will use live market data and positions to demonstrate how a strategy can be effective. As with all investing and trading, caution and a complete understanding of the strategy and risks is recommended. Rule One faculty and coaches may demonstrate how they or other investors have invested their accounts in the past, again, for educational purposes only. Personal investing and trading examples are to demonstrate and educate only. These examples are not representative of the consistent returns in an account or an expectation of future gains. Faculty and coaches may have other positions that are positive or negative. It is your responsibility to implement the rules and strategies you are taught effectively. We strongly recommend you paper trade positions (without money) for several months using dozens of hypothetical investments and trades before adopting any or all of these techniques.

• No part of this workshop may be reproduced in any form, by any means, photocopying, electronic or otherwise, without written permission from the Rule One Investing, Inc. It is understood and agreed to that the below identified discloser of confidential information may provide certain information that is and must be kept confidential. To ensure the protection of such information, and to preserve any confidentiality necessary under patent and/or trade secret laws, it is agreed that:
1. The Confidential Information to be disclosed can be described as and includes:
1. Unpublished Rule One business analysis including techniques to determine value and margin of safety
2. Which ‘gurus’ are to be followed closely for ‘coat-tailing’ and how to analyze their positions
3. What resources are used to get ‘a mile deep’ and fully understand a business
4. Specific stocks that Phil is buying or selling
5. Information about Phil’s portfolio
6. What Rule One Put options and Rule One Call options are, how to use them and why to use them
7. How to select stocks for options based on valuation, implied volatility and probability analysis
8. The structure, timing and evaluation of the Expiration Day Trade
2. The Recipient agrees not to disclose the confidential information obtained from the discloser to anyone unless required to do so by law.
3. This Agreement states the entire agreement between the parties concerning the disclosure of Confidential Information. Any addition or modification to this Agreement must be made in writing and signed by the parties.
4. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole.

WHEREFORE, the registration of the event acknowledges that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein.
